General Terms and Conditions of Sale and Services

1- CONTRACT

Catalogues, product lists and brochures are not contractual and may be amended. Except where expressly agreed otherwise by the parties, these
General Terms and Conditions shall be the only terms applying to relations between our company and customers. Placing an order implies full
acceptance without reservations on the part of the purchaser of these General Terms and Conditions of Sale.
JD Production reserves the right to claim full payment with the order, except where agreed and accepted otherwise beforehand with JD Production.
The cancellation of any order by the customer shall give rise to compensation being due by said customer, established at twenty-five per cent (25%)
of the order amount. Where appropriate, said compensation shall be supplemented to reach the amount of costs already incurred, plus loss of revenue
by JD Production.

2 – PRICE

The price billed is the JD Production price including taxes on the day of the order (VAT may be claimed back by professionals). If the sale was
preceded by a quotation, the validity of the price stated therein is limited to one month as from the quotation date.
Shipping costs will be rebilled according to agreements made inter partes.

3 – PAYMENT TERMS

Payment shall be made when order, even where agreed and accepted beforehand by JD Production, by cheque, bank transfer or in cash.
Any failure to make payment within agreed periods shall give rise to late payment interest as a penalty, in an amount equal to that resulting from
twice (2 times) the statutory rate of interest being applied to all outstanding sums.

4 – CONDITIONS OF SALE

Information provided by JD Production regarding the existence of a restoration or incident affecting the item are expressed to facilitate its valuation
by the potential purchaser and remain subject to their personal appreciation. The absence of information concerning a restoration or incident in the
item description shall in no way mean that an item is free from any present, past or repaired defect. Conversely, the mention of any defect shall not
imply the absence of any other defects.
Measurements are given as an indication only.
Visits to the warehouse, by appointment, will of course be facilitated, failing this, additional information or photographs other than those presented
may be requested by the purchaser, enabling them to appreciate the condition of the items for sale.
Collection of goods may be made either at the warehouse by the purchaser themselves, or by a carrier. No claims will be accepted once the item has
been dispatched or collected.

5 – SHIPPING

As a precaution, JD Production may offer the purchaser solutions for shipping or dispatch. Shipping costs shall be paid solely by the purchaser under
their responsibility.
Products sold always travel at the customer’s risk as from collection by the carrier. Delivery times or performance lead times are given as an
indication only and shall not incur any liability. Periods commence upon receipt of the customer’s order. Delays in delivery or performance cannot
provide grounds for cancelling an order, and damages in respect of such grounds are excluded in all cases. If products remain at the storage facility
through the customer’s fault, JD Production may, without prior formal notice, claim repayment of storage costs, without said repayment amending the
conditions of transfer of ownership defined elsewhere. Partial deliveries are possible, and will be made where possible.
The customer has an obligation to check the compliance and good condition of products as soon as they are made available or received. Customers
must, within 48 hours, issue any reservations and lodge any claims against the carrier in the event of deterioration, total or partial loss or missing
items. The customer shall bear, alone, all consequences of failure to make a claim, statute-barred legal action or any kind of negligence in this regard.
Claims in respect of non-compliant quantity, products or services through the fault of JD Production shall be valid only if they are lodged accurately
and in writing with JD Production within eight days of delivery or items being made available. After that date, all action in respect of non-compliance
shall be statute-barred.

6 – FORCE MAJEURE

In the event of absolute necessity or any event outside its control, or any event preventing, delaying or hindering carriage, or breakdowns in supply,
the obligations of JD Production shall be suspended and deadlines postponed to the extent of the duration of the event of absolute necessity or the
aforementioned events. Said suspension shall not give rise to any entitlement to damages.

7 – PENALTY CLAUSE

If failure on the part of the customer should constrain JD Production to entrust recovery of outstanding sums to a debt collection service, the latter
sums will be increased by a compensatory amount established at 12% of their total including taxes. Said increase has been established as a penalty
clause pursuant to Articles 1225 and 1152 of the Civil Code.

8 – RESERVATION OF OWNERSHIP

All goods and products delivered shall remain the property of JD Production until full payment of their price is made, which shall be the sole criterion
for transfer of ownership. Bills of exchange shall not be considered as payment until actually cashed. If payment is refused, forty-eight hours after a
formal notice has remained unheeded, JD Production reserves the right to terminate the sale and demand the return of goods delivered.

9 – DISPUTES AND JURISDICTION

The Commercial Court of Grasse (Alpes-Maritimes) shall have sole jurisdiction in the event of a dispute of any kind, regarding objections in respect
of the content or performance of an order, irrespective of the place of delivery or the method of payment, and even for joinders or multiple
defendants, unless the vendor prefers to refer the matter to any other competent Court.
